Instrumental License Agreement

This agreement governs the use of the musical instrumental entitled “[Beat name]” (hereinafter the “Beat”)
created by the Producer, and granted to the Licensee under a non-exclusive license referred to as “Ultimate”.
The license is granted in consideration of a one-time, non-refundable payment of €149.99.
The Beat is delivered immediately after purchase in MP3 + WAV (high quality) + separated tracks (STEMS) format, via direct download and by email.
The license is valid for 10 years from the Effective Date.
The Licensee is authorized to:
The New Work may be:
Major structural modifications (such as recomposition or the addition of complex arrangements) must be
approved in writing by the Producer.
Under all circumstances, the Producer remains the sole composer of the instrumental.
No third party (musician, arranger, etc.) may be credited as co-composer without written authorization.
The Beat may not be used as-is, resold, or redistributed on its own.
The Producer remains the exclusive owner of the Beat.
The Licensee retains ownership of their own creative contributions (lyrics, vocal recording…).
On all platforms and media, the following credit must appear: (prod. Breezy January)
The distribution of copyright royalties shall be:
The Licensee agrees to register this distribution when filing the work, or within 3 months of publication,
with SACEM or another competent rights organization.
In the event of breach of any clause, the Producer reserves the right to cancel the license without refund and
to prohibit any further distribution of the work.
This agreement is governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution
before pursuing legal action.
This agreement has been drawn up in French and English. In the event of any discrepancy between the two versions, the French version shall prevail.
The Beat is provided “as is”, with no guarantee of commercial success. The Producer warrants that they hold the necessary
rights to grant this license. The Licensee is responsible for any content they add to the New Work, including samples.
They represent that they have obtained all necessary authorizations.
By completing payment, the Licensee acknowledges having read, understood, and accepted all the terms of this agreement.
